PropIQ Terms of Service

1. Agreement

These Terms of Service ("Terms") are an agreement between you and PropIQ, Inc. ("PropIQ," "we," "us"), a Delaware corporation. They govern your use of PropIQ, including the web app and the website at https://propiqai.ai (together, the "Service").

By creating an account or using the Service, you agree to these Terms. If you use the Service for a brokerage, team, or other business, you confirm that you have authority to bind it, and "you" includes that business.

Our Privacy Policy explains how we handle personal information, including data from Google. It is part of these Terms.

2. Who can use PropIQ

The Service is for real estate professionals and their staff, for business use. You must be at least 18. You are responsible for holding any license your work requires and for following the rules of your brokerage, your MLS, and your licensing authority.

PropIQ is a software company. It is not a real estate brokerage and does not give legal, tax, financial, or brokerage advice.

3. Your account

You must give accurate information when you sign up and keep it current. Keep your login details private. You are responsible for all activity under your account, including activity by team members you add. Tell us right away at [email protected] if you think someone has used your account without permission.

4. The Service

PropIQ includes a CRM, a unified inbox where an AI assistant named Chevy sorts incoming email and drafts replies for your approval, a calendar for showings and appointments, and property search alerts you can send to your clients.

We may add, change, or remove features. If we remove a feature that is central to a paid plan, we will give you reasonable notice. Features labeled beta or preview may change or stop working and are provided as-is.

5. Connecting your Google account

When you connect a Google account, you authorize PropIQ, through our subprocessor Nylas, Inc., to access your Gmail, Google Calendar, and basic profile as described in the Privacy Policy. You may connect only accounts you have the right to connect. If your brokerage controls your email account, you are responsible for getting any permission it requires.

You can disconnect at any time in the app or at https://myaccount.google.com/permissions. Your use of Google services stays subject to Google's own terms. If Google limits or ends PropIQ's access, the features that depend on it may stop working.

6. Chevy and other AI features

• Chevy's sorting, suggestions, and drafts are produced by AI. They can be wrong, incomplete, or unsuitable for the situation.
• By default, PropIQ does not send any email from your account without your approval. When you approve a message, it is sent from your account, in your name, and you are the sender.
• You are responsible for reviewing each message before you approve it and for everything sent in your name, including property details, prices, disclosures, and any commitments the message makes.
• If PropIQ later offers a feature that sends messages without per-message approval and you or your workspace turn it on, you are responsible for those messages as if you had approved each one.
• Do not treat AI output as legal, tax, financial, or professional advice.
• As between you and PropIQ, you own the drafts and other output generated for your account.

7. Messaging your clients: consent and anti-spam rules

You are responsible for every message you send through the Service, including property search alerts, email replies, and any other outreach. You must:

• Send messages only to people who have agreed to receive them or whom applicable law otherwise permits you to contact, and keep a record of that consent.
• Follow the CAN-SPAM Act for commercial email. Among other things, this means accurate sender and header information, subject lines that are not misleading, identifying the message as an advertisement where required, a valid physical postal address, and a working way to opt out that you honor within 10 business days.
• Leave in place any unsubscribe or opt-out link PropIQ adds to your messages, and honor opt-outs across every tool you use to contact that person.
• Follow all other laws that apply to your messages and advertising, including state marketing laws, fair housing laws, and real estate advertising and license disclosure rules.
• Not upload or message purchased, rented, or scraped contact lists.

We may pause sending from your account if bounce or complaint rates are high, or if we believe you are breaking this section.

8. Acceptable use

You will not use the Service to:

• send spam, unsolicited bulk email, phishing, or malware;
• break Google's policies or Gmail sending limits, or use multiple accounts to get around those limits or filters;
• publish or send content that discriminates in violation of fair housing laws;
• upload or send content that is unlawful, defamatory, or harassing, or that you do not have the right to use;
• impersonate anyone or misrepresent your license, brokerage, or affiliation;
• access another person's account or data without permission;
• reverse engineer, scrape, or interfere with the Service, or bypass its usage limits or access controls;
• build a competing product, or use the Service or its output to train an AI model;
• resell or sublicense the Service without our written permission.

9. Your data

You keep ownership of the data you and your clients put into the Service and the data you connect to it, including your Google data ("Your Data").

You give PropIQ permission to host, copy, process, transmit, and display Your Data only to provide, maintain, and improve the Service as described in the Privacy Policy, and as required by law. Our use of Google user data is further limited as described in the Privacy Policy, including Google's Limited Use requirements.

You are responsible for having the rights and consents needed for the client information you put into the Service.

We may use aggregated, de-identified information about how the Service is used to operate and improve it. That information does not include Google user data. If you send us feedback or suggestions, we may use them without any obligation to you.

10. Third-party services and data

The Service works with third-party services, including Google, Nylas, Resend (which delivers property search alerts), and AI model providers. Listing information shown in the Service comes from third-party sources, such as multiple listing services (MLSs) and property data providers. Your use of listing information must follow the rules of those sources, including your MLS's display and attribution rules. We do not control these services and are not responsible for their availability or accuracy. Check listing details before relying on them.

11. Fees and payment

PropIQ is currently offered as early access. If you choose a paid plan, the price, billing cycle, and cancellation terms shown when you sign up for that plan apply to it and form part of these Terms.

You agree to pay the fees for the plan you choose. Unless your plan terms or the law say otherwise, fees are non-refundable. A price increase for your plan is a material change under section 18, so we will give you at least 30 days' notice before it takes effect. We may suspend the Service if payment is overdue.

12. Cancellation, suspension, and termination

You may cancel at any time by emailing [email protected] or by any cancellation method shown in your plan terms or in the app. We may suspend or end your access if you breach these Terms, fail to pay, create a risk to other users or to the Service, or if the law requires it. Where practical, we will give notice first.

After your account ends, your access stops. Before you cancel, you can download any of Your Data that the Service lets you export, such as transaction records, or ask us for help at [email protected]. We then delete Your Data as described in the Privacy Policy. Sections 9, 13 through 17, and 19 continue to apply after termination.

13. Our intellectual property

PropIQ owns the Service, including its software, design, and trademarks. While your account is active and in good standing, we give you a limited, non-exclusive, non-transferable, revocable right to use the Service for your business under these Terms.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, PROPIQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT AI OUTPUT OR LISTING DATA WILL BE ACCURATE, OR THAT ANY EMAIL WILL BE DELIVERED. PROPIQ IS NOT RESPONSIBLE FOR THE OUTCOME OF ANY TRANSACTION, COMMISSION, OR CLIENT RELATIONSHIP.

15. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS:

• PROPIQ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST COMMISSIONS, OR LOST DATA, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
• PROPIQ'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID PROPIQ IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR $100.

These limits do not apply where the law does not allow them.

16. Indemnification

You will defend and indemnify PropIQ and its officers, employees, and contractors against claims, losses, and costs (including reasonable attorneys' fees) arising from: your use of the Service; Your Data; messages sent in your name; claims by your clients; or your breach of these Terms or of any law, including the CAN-SPAM Act and fair housing laws.

17. Governing law and disputes

Delaware law governs these Terms, without regard to its conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, and you and PropIQ consent to their jurisdiction.

18. Changes to these Terms

We may update these Terms. For material changes, we will notify you by email or in the app at least 30 days before they take effect. If you keep using the Service after that, you accept the updated Terms. If you do not agree, cancel before the change takes effect.

19. General

These Terms and the Privacy Policy are the entire agreement between you and PropIQ about the Service. You may not assign these Terms without our written consent. We may assign them as part of a merger, acquisition, or sale of assets, subject to the Privacy Policy's rules on Google user data. If any part of these Terms is found unenforceable, the rest stays in effect. Failing to enforce a term is not a waiver. Neither party is responsible for delays caused by events beyond its reasonable control. We may send you notices by email or in the app.
